The undersigned parties hereby verify that they are completely satisfied about the validity of the buyers and/or suppliers.

This means that you have all checked each other out and you don't smell a huge scam coming from any direction.

The documents which will be subsequent to this agreement such as letters of intent, bank comfort letters, full corporate offers, banking details or pre-advised payment instruments, contract terms and conditions, and/or any information contained in the aforesaid documents shall not be passed, under any reason or circumstance, onto any other broker or trader or intermediary or whatever corporate entity or private individuals who are not the actual end suppliers or end buyers, without prior specific written authorization of the party(s) providing such information.

You are keeping this deal among yourselves and unless you get prior permission from the other guys to blab to the outside world you are going to keep your big fat mouth firmly shut.

This covenant is devised and entered into on this particular date, and is to obligate the undersigned parties and their associates, partners, employers, employees, subsidiaries, affiliates, parent companies, any successors, representatives, nominees, clients and assigns hereinafter referred to specifically as "the parties" jointly, mutually, severally, and reciprocally for the terms and conditions clearly stated herein and agree to below,

This deal will bind you, your family, your business associates and your heirs for the rest of eternity so you'd darn well better make sure you don't screw it up.

and that this document may be referred to from time to time in any contract(s), or written agreements, the terms and conditions of this covenant shall apply to any communication of information oral or written involving financial information, corporate or personal identities, contracts designed by or involving the parties and any renewal, addition, extension, renegotiation, roll-over amendment, or new agreement hereinafter known as "the transaction" (and / or "project / transaction") for the purchase of all products / commodities / equipment.

There are no outs to this document. This clause thoroughly and completely kills all loopholes or even the shadow of any loopholes. If any of the parties try to do an end run around the others or pull some wool over their eyes, you can go to court with this document and sue them for every penny they've ever had and every penny their mothers, fathers, sisters, brothers, kids, and dogs have ever had or ever will have.

Therefore it is agreed

1. The intending parties hereby fully, irrevocably, and legally bind themselves into a covenant with each other that they shall not in any manner, directly or indirectly circumvent or attempt to circumvent, interfere with, obviate, avoid, or by-pass each others interest or the interest or business relationship between the "parties" with the sellers, buyers, brokers, procedures, refiners, shippers, dealers, distributors, technology owners or manufacturers, and / or financial institutions to increase, change, or avoid directly or indirectly payments of any fees should they be either established or to be established, as well as any commissions, or continuance of any previously established relationship and / or intervene in business relationships without contract with intermediaries, enterpreneurs, legal council, manufacturers or technology owners, or initiate any relationship or transactional relationship to purchase and sell that by-passes one of the "parties" to any another in conjunction with any present and future transaction and / or project.

More nails in the coffin of the prospect of trying to screw another party out of money that is rightfully owing them due to the work performed. Whenever anyone has been foolish enough to try and walk around an NDA the courts have almost always nailed them to the wall, coffin, or anything else that the plaintiff wanted.
